1. Agreement to Terms
These Terms & Conditions constitute a legally binding agreement between you ("Client," "Partner," or "User") and JASS Solutions LLC ("Company," "we," "us," or "our"), governing your access to and use of the website located at jasssolutions.com, as well as any related software tools, API webhooks, lead generation pipelines, and customer acquisition services.
By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms & Conditions. If you do not agree with all of these terms, you are expressly prohibited from using the platform.
2. Real Estate Professional Representation
You represent and warrant that you are a licensed real estate salesperson, broker-associate, managing broker, or authorized representative of a licensed real estate brokerage in good standing with your respective state real estate licensing commission. You agree to maintain all professional licenses, MLS board memberships, and regulatory requirements necessary to transact real estate in your designated geographic territory.
3. Territory Exclusivity & Non-Compete Guarantee
When JASS Solutions LLC grants designated territory exclusivity for a county or zip code cluster:
- We will not deploy identical inbound seller listing acquisition systems for any competing real estate team or brokerage within your locked territory boundaries during active subscription status.
- Exclusivity requires the partner to maintain their monthly service retainer in good standing. Failure to pay fees when due constitutes immediate forfeiture of exclusive market rights.
- Exclusivity applies strictly to the geographic parameters agreed upon in your partner onboarding agreement.
4. Proprietary Rights & Intellectual Property
The JASS Solutions platform, including its proprietary data-scraping algorithms, lead-enrichment models, speed-to-lead scripts, video creative formats, and CRM automation architectures, constitutes proprietary intellectual property owned by JASS Solutions LLC. Clients receive a limited, revocable, non-exclusive license to use these systems solely for their internal real estate brokerage operations during their term of service.
5. Disclaimers & Limitation of Liability
No Guarantee of Real Estate Closings: While JASS Solutions guarantees verified lead qualifications, speed-to-lead routing, and confirmed calendar appointments based on agreed metrics, the actual execution of listing presentations, contract negotiations, client representation, and transaction closing remains the sole responsibility of the licensed real estate agent.
Limitation of Liability: In no event shall JASS Solutions LLC, its directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the platform. Total liability shall not exceed fees paid by you to JASS Solutions LLC during the three (3) months preceding the claim.
6. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and defined following the laws of the State of Missouri, without regard to its conflict of law principles. You irrevocably consent that the courts located in Kansas City, Jackson County, Missouri shall have exclusive jurisdiction to resolve any dispute which may arise.
